Terms and Conditions for Participants United

Welcome to Participants United. These Terms and Conditions ("Terms") govern your access to and use of the Participants United website, platform, and services (collectively, the "Services").

Please read these Terms carefully. By creating an account or by accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Description of Services

Participants United provides a platform that connects industry professionals ("Participants," "you," "your") with businesses, researchers, and other organizations ("Clients") who are seeking feedback and insights on their products and services through research studies, including but not limited to surveys, interviews, and focus groups ("Studies").

2. Eligibility and Account Registration

Eligibility: To use the Services, you must be at least 18 years of age and have the legal capacity to enter into a binding contract.

Account Creation: You agree to provide accurate, current, and complete information during the registration process. This includes your professional details, such as your work history and industry, which we may verify using publicly available information (e.g., your LinkedIn profile).

Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately at support@participantsunited.com of any unauthorized use of your account.

3. Participant Conduct and Responsibilities

As a Participant, you agree to:

  • Provide truthful and accurate information about your identity, expertise, and in all responses you provide during Studies. Misrepresentation may result in immediate termination of your account and forfeiture of any outstanding compensation.
  • Participate in all Studies professionally and respectfully.
  • Complete any Studies you accept in a timely and diligent manner.
  • Not use any automated means, such as bots, to participate in the Services.

4. Confidentiality of Research Studies

You acknowledge that all information related to the Studies you are invited to or participate in is highly confidential. This includes, but is not limited to, the identity of our Clients, the subject matter of the research, new product concepts, designs, and any materials shared with you ("Confidential Information").

You agree not to disclose, copy, reproduce, or share this Confidential Information with any third party, in any form, including on social media or personal blogs, without the express written consent of Participants United. A breach of this confidentiality clause will result in immediate termination of your account, forfeiture of all compensation, and may expose you to legal action from Participants United and/or our Clients.

5. Compensation and Payments

  • For each Study you successfully complete, you will be entitled to the compensation ("Incentive") that was disclosed in the Study invitation.
  • Payments are processed through a third-party digital rewards platform. Your use of such platforms is subject to their own terms and conditions.
  • Participants United is not responsible for lost or stolen rewards once they have been delivered to your designated account.
  • You are solely responsible for any and all tax liabilities resulting from the Incentives you earn.

6. Intellectual Property

Our IP: The Services, including the website, logo, text, graphics, and software, are the exclusive property of Participants United and its licensors, protected by copyright, trademark, and other laws.

Your Insights: In consideration for your participation in and compensation for a Study, you hereby assign to Participants United and/or its Client all right, title, and interest in and to the content of your responses, feedback, ideas, and any other information you provide during a Study ("Participant Content"). You agree that Participants United and its Clients may use, reproduce, modify, and distribute your Participant Content for any purpose, without any further compensation or attribution to you.

7. Data Privacy and Third-Party Data Sharing

Your privacy is important to us. Our collection and use of your personal information are described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Services, you consent to our collection, use, and disclosure of your information as described therein.

You acknowledge and agree that, as part of our Services, we share information with our third-party partners (our "Clients") to facilitate research. As detailed in our Privacy Policy, your Personally Identifiable Information (PII) is not shared without your explicit consent. Primarily, we share data in an anonymized or aggregated format.

8. Business Transfers / Change of Control

Participants United may be sold, or its assets may be otherwise transferred in the future. In connection with a merger, acquisition, reorganization, or sale of assets, or in the event of bankruptcy, Participants United may sell, transfer, or share some or all of its assets, including your personal information and Participant Content.

By agreeing to these Terms, you consent to such a transfer. In such an event, your information would remain subject to the promises made in the pre-existing Privacy Policy and these Terms, unless you are given notice of changes.

9. Termination

By You: You may terminate this agreement at any time by deleting your account or by contacting support@participantsunited.com.

By Us: We may suspend or terminate your account and access to the Services at our sole discretion, without notice or liability, for any reason, including but not limited to a breach of these Terms.

10. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Participants United makes no warranties, express or implied, regarding the Services, including any warranty that the Services will be uninterrupted or error-free. We do not guarantee that you will be invited to participate in any number of Studies.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Participants United, its affiliates, directors, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your access to or use of, or inability to access or use, the Services.

12. Indemnification

You agree to defend, indemnify, and hold harmless Participants United and its employees, directors, and affiliates from and against any claims, damages, costs, liabilities, and expenses (including, but not limited to, reasonable attorneys' fees) arising out of or related to your use of the Services or your breach of any of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered in Delaware, except for claims for injunctive relief.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with notice through the Services or by sending you an email. Your continued use of the Services after such a change constitutes your acceptance of the new Terms.
